NAWABIZ VENDOR TERMS AND CONDITIONS

Welcome to NaWaBiz. These Vendor Terms and Conditions govern your use of the NaWaBiz platform as a registered vendor. By completing the vendor registration process, you agree to be legally bound by these terms.
1. VENDOR ELIGIBILITY AND REGISTRATION
To become a vendor on NaWaBiz, you must:
- Be at least 18 years of age or a legally registered business entity
- Provide accurate and verifiable business information during registration
- Comply with all applicable local, national, and international laws and regulations
- Obtain all necessary licenses and permits required to operate your business
2. VENDOR ACCOUNT AND RESPONSIBILITIES
As a vendor, you are responsible for:
- Maintaining the accuracy of your business profile, product/service listings, and contact information
- Ensuring all products and services offered comply with applicable laws and platform policies
- Promptly responding to customer inquiries and resolving disputes in good faith
- Safeguarding your account credentials and preventing unauthorized access
3. PRODUCT AND SERVICE LISTINGS
Vendors agree that all listings must:
- Be accurate, complete, and not misleading
- Not infringe upon any third-party intellectual property rights
- Not include prohibited items as defined in NaWaBiz's Prohibited Items Policy
- Include clear pricing, availability, and delivery/service terms
4. FEES AND PAYMENTS
- Vendors acknowledge and agree to the commission structure and subscription fees applicable to their plan
- NaWaBiz reserves the right to modify fee structures with reasonable prior notice
- Payments to vendors will be processed according to the payout schedule outlined in the vendor dashboard
- NaWaBiz reserves the right to withhold payments in cases of suspected fraud or policy violations
5. CONTENT OWNERSHIP AND LICENSE
By listing products or services on the Platform, vendors grant NaWaBiz a non-exclusive, royalty-free, worldwide license to display, promote, and distribute vendor content for the purpose of operating the Platform and marketing vendor offerings.
6. VENDOR CONDUCT
Vendors agree not to:
- Engage in any deceptive, fraudulent, or unethical business practices
- Solicit customers to transact outside the NaWaBiz platform to circumvent fees
- Post false reviews or engage in any reputation manipulation
- Violate any consumer protection laws or regulations
7. CUSTOMER SERVICE STANDARDS
Vendors are expected to maintain high standards of customer service, including:
- Fulfilling orders within the promised timeframe
- Providing accurate product/service descriptions
- Handling returns, refunds, and complaints in accordance with NaWaBiz's policies
8. INTELLECTUAL PROPERTY
Vendors retain ownership of their original content but warrant that all listed content does not infringe upon the intellectual property rights of any third party. NaWaBiz shall not be held liable for any IP infringement by vendors.
9. INDEMNIFICATION
Vendors agree to indemnify and hold harmless NaWaBiz, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from vendor's use of the Platform, violation of these Terms, or infringement of any third-party rights.
10. SUSPENSION AND TERMINATION
NaWaBiz reserves the right to suspend or permanently terminate any vendor account for:
- Violation of these Terms or platform policies
- Fraudulent, deceptive, or harmful activity
- Failure to maintain acceptable performance standards
- Non-payment of applicable fees
11. LIMITATION OF LIABILITY
NaWaBiz's liability to vendors shall be limited to the fees paid to NaWaBiz in the three (3) months prior to the claim. NaWaBiz shall not be liable for any loss of profits, data, or business opportunities.
12. MODIFICATIONS
NaWaBiz may revise these Vendor Terms at any time. Vendors will be notified of material changes. Continued use of the Platform following notification constitutes acceptance of the revised Terms.
13. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by applicable laws. Any disputes shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be referred to binding arbitration or courts of competent jurisdiction.
